Legal Analyst, TRACK-IP

Overview:

The Intellectual Property team's TRA©K-IP Group is hiring a Legal Analyst who will be responsible for rights analyses of numerous types of entertainment agreements, including distribution, acquisition, co-financing, co-production, multi-picture, network license, and talent agreements. The Analyst also will be responsible for researching, entering, updating, and managing data in various systems used by the department and Company.

The TRA©K-IP Group serves clients across SPE's divisions around the world, including domestic and international sales/distribution, motion picture and television production and acquisitions, local language productions and acquisitions, and consumer products and other ancillary exploitation groups.

Responsibilities:

Reporting to the Vice President of Legal-IP department, determine and internally communicate the company's rights and associated restrictions and obligations in its currently owned properties:

  • Research and locate all relevant agreements
  • Review, analyze, and prepare summaries of the agreements, including literary rights acquisition, co-production, finance, distribution, network license, digital rights, and talent agreements.
  • Analyze and enter complex distribution rights in relevant systems (e.g., media, term, territories, holdbacks, windows) as well as associated restrictions and obligations
  • As needed: analyze remake/sequel and ancillary rights; apply relevant copyright and Guild principles to analyses; handle other miscellaneous rights-related assignments
  • Draft emails and memos to clients
  • Enter information, as needed, into various Company databases

The Legal Analyst will be responsible for understanding the business practices and legal issues relevant to this work, and for proactively communicating with clients and supervisors to resolve issues.

Qualifications:

  • BA/BS or equivalent experience
  • Experience with entertainment industry contracts, including experience analyzing distribution and other rights.
  • Experience working with complex databases (including for purposes of research, analysis, and data entry) strongly preferred.
  • Ability to analyze, interpret and summarize complex contract language and communicate complex issues in a succinct and clear manner.
  • Excellent analytical and issue-spotting skills
  • Strong written and oral communication skills
  • Demonstrated ability to pay attention to detail
  • Excellent judgment and common sense
  • Strong organizational skills, ability to manage project flow and work processes, and attendant follow-up and follow through.
  • Strong interpersonal skills and the ability to work cohesively in a collaborative environment.
  • Ability to work independently, prioritize work, and meet deadlines
  • Ability to be flexible and work well in a fast-paced environment where priorities are subject to revision based on business needs.
  • Paralegal certificate a plus
