Job Summary

Working within Transaction Management Group in the PEF Team in the role of Intercreditor Agent, Agent, Security Trustee on our Project Finance Portfolio; working on waivers, amendments and the general day-to-day running of the project finance deals. Liaising, amongst others, with lenders, borrowers, insurance companies, ECA's and multinational corporations. The role will also require the candidate to work with various internal and external stakeholders as well as with lenders' legal, technical and insurance advisors. This is a role of co-ordination where we must be seen to be impartial at all times and ensure that the information walls between us and SCB as Lender, arranger, relationship manager are kept clearly separated.

Key Responsibilities

  • To work with the Transaction Managers in performing a basic deal and structure review of each new addition to the Portfolio.
  • Liaise directly with external legal counsel and customers to discuss documentation requirements from both a documentation and business perspective and advise those parties of our waivers and amendment requirements.
  • Support drafting standards, regulatory requirements, mitigate performance risk through documentation solutions, support client opportunities, ensure that problems are managed with adequate communications, manage any root-cause analysis to improve documentation standards and further improve the way in which we work through cost effective and documentation improvements.
  • Ensure that all actions of the documentation are effective, understood and operationally managed thereby creating a robust end-to-end process in accordance with the departmental and market standard requirements.
  • Ensure that all waiver and amendment requests are managed in accordance with our departmental procedures and our agency protection provisions and, if required, escalate all breaches to the Head of Transaction Management. Ensure that all conditions precedent and subsequent to any waiver or amendment, as well as any other documentation requirements, are discussed and highlighted to the appropriate team. In relation to these waiver and amendment requests the
  • Transaction Officer will review and then gain the approval of the appropriate Transaction Manager as required before submitting any documentation for execution.
  • Ensure that all information and relevant systems are managed through our compliance wall thereby supporting our legal appointments as the trustee and intermediary bank that conduit between the client and these risk takers. All
  • communicated must be kept within the private side of the bank for compliance and confidentiality reasons.
  • Assist with the management of the receipt and safekeeping of any original documentation within our original documentation procedures.
  • Proactively manage all day-to-day issues within the documentation within our portfolio by offering the operations team support as and when required during the life of each transaction.
  • Review and communicate all waiver and amendment requests within the client deadline by ensuring that we have acted in accordance with the documentation requirements. Manage all client requests by ensuring that we have received the sufficient voting rights or supporting information before we arrange to execute any documentation changes.
  • Arrange and host client or lender meetings as required through conference calls or face-to-face meetings.
  • Develop any administrative and operational procedures to ensure that we are in compliance with SCB's policies and the any underlying requirements within that product.
  • Handle any other responsibilities such as ongoing product development, managing the development of any new products and ensure that we deliver our client opportunities with a good quality end to end process.
  • Participate in client events and market training to be able to then provide feedback and assistance in all areas of the Transaction Management team by communicating customer requirements, market trends and any development area to ensure that the team shares knowledge thereby enhancing the way we work so that we remain competitive within the market.

Our Ideal Candidate

Skills & Experience

  • Minimum of 3 years relevant market experience with a good exposure in Loans and underlying loan documentation.
  • Relevant experience in operations, treasury and credit administration and Emerging Markets experience would be helpful
  • Knowledge of market IT systems, services and relevant regulation market requirements.
  • An ability to manage challenging situations in which you can protect the bank with a good eye to detail and understanding of underlying documentation whilst at the same time maintaining and balancing a close working relationship with our clients.
  • Ability to communicate at all levels of any organisation both internally and externally.
  • Good management and organisational skills to prioritise day-to-day work within tight deadlines to support urgent requests.
  • Willingness to work independently and to have a proactive and flexible attitude towards our clients' needs.
  • Good interpersonal skills and to be an innovative thinker.
  • Passionate about performance and delivery.
  • Able to work in pressurised environment and manage priorities effectively.

Education

  • Educated to degree level; with experience gained in one of the top tier banks or corporate companies.
